Coke to hold annual meeting in Gwinnett

It’s here for just the third time in the company’s history

Coca-Cola Co. is making a rare home appearance for this year’s shareholders meeting.

The Atlanta-based beverage giant will hold the annual event in metro Atlanta for only the third time in the company’s history. The meeting is scheduled for April 22 at the Gwinnett Center in Duluth, according to a recent filing made with the Securities and Exchange Commission.

What: Coke shareholders can attend a meeting to vote on issues and ask questions about the company.
Background: Coke annual meetings have been held in Delaware all but six times. The years and locations for the other meetings are: Houston (1982, 1984, 2003); Atlanta (1986, 1992); New York (2002).

Coca-Cola shareholders meetings are usually held in Delaware. The company is headquartered in Atlanta, but like many companies, Coke is incorporated in Delaware, a state that has a long history of handling corporate issues.

Coke has held its meeting outside of Delaware six times: twice in Atlanta, three times in Houston, the home of the Minute Maid unit, and once in New York. The meeting in New York was held in 2002 as a show of support for the city after the September 11 terrorist attacks.

Coca-Cola decided to hold this year’s meeting in metro Atlanta because of the leadership transition from Neville Isdell to Muhtar Kent, said Coca-Cola spokesman Dana Bolden. The company wanted as many shareholders as possible to be able to attend the meeting and metro Atlanta has the largest concentration of shareholders, Bolden said.

In July of 2008, Isdell handed over the CEO position to Kent, but Isdell remained as chairman of the board. At this year’s meeting, Kent also will take the role as chairman.
